Overview
1.1 / Project-Based Services
Zouhall provides project-based services that include branding, digital platforms, marketing campaigns, and growth systems. Each project is defined by a written agreement that sets out scope, deliverables, milestones, and fees. Timelines are established prior to project commencement, and the number of iterations included will be specified in the project agreement. Final deliverables are provided after receipt of full payment.

Our retainer model is designed for clients who require continuous support across brand, development, and growth. Retainers give clients priority access to our team, structured delivery cycles, and ongoing strategic alignment. Specific terms, scope, and minimum commitment will be defined in each retainer agreement.

Services Terms
2.1 / Project Terms
A signed project agreement is required before work begins. Unless otherwise agreed, a deposit is required to secure a project slot, and the timeline begins once both the deposit and necessary materials are received. Additional requests beyond the agreed scope are treated as new work and billed separately.
2.2 / Retainer Terms
Retainers require an initial minimum commitment period, specified in the agreement. Termination requires written notice as agreed. Scope, deliverables, and cadence of delivery will be outlined in the retainer agreement. Flexibility exists to adjust priorities from month to month, but all work must remain within the agreed scope.

Scope of Work
3.1 / Included Services
Our services include brand identity and messaging, UX/UI design, website and platform development, marketing campaign strategy and execution, growth systems (including SEO, paid ads, email automation, and social media management), content direction, and performance optimization.
3.2 / Excluded Services
Unless explicitly included in your agreement, our services do not cover photography, full-scale video production, offline event management, or specialized legal/financial consulting. If required, we may connect you with trusted partners.

Client Responsibilities
4.1 / Required Materials
Clients are responsible for providing timely access to necessary assets, including brand guidelines, content, and approvals. Delays in providing materials may affect agreed timelines.
4.2 / Communication
Clients must designate a single point of contact for each engagement to ensure clarity and efficiency. Feedback should be consolidated and provided within agreed timeframes to maintain project momentum.

Intellectual Property
5.1 / Rights and Ownership
Upon full payment, clients own the rights to all final deliverables produced under their project or retainer. Zouhall retains the right to showcase completed work in our portfolio. Preliminary concepts, drafts, and unused materials remain the property of Zouhall. Clients are responsible for ensuring they have rights to all content they supply.
5.2 / File Delivery
Final deliverables will be provided in formats agreed at the outset of the project. Additional formats or variations may be provided upon request and may incur additional fees. Files will be delivered securely and confidentially.

Revisions and Changes
6.1 / Project Revisions
The number of iterations included in a project will be specified in the agreement. Minor refinements are included, but significant shifts in direction are considered scope changes and will be re-quoted.
6.2 / Scope Changes
Any adjustments to the project scope must be agreed in writing. Revised costs and adjusted timelines will be communicated transparently before additional work proceeds.

Payment Terms
7.1 / Project Payments
Projects typically require an upfront deposit, with the remaining balance due prior to delivery of final work. Unless otherwise agreed, invoices are issued on Net 15 terms. Late payments may result in paused work and incur interest charges.
7.2 / Retainer Payments
Retainer payments are due on the agreed billing schedule. Non-payment may result in suspension of services until payment is received. Additional work outside the agreed retainer scope will be billed separately.

Cancellation and Termination
8.1 / Project Cancellation
If a client cancels a project after commencement, fees will be calculated based on the stage of work completed. Work completed up to that point remains the property of Zouhall until outstanding balances are paid.
8.2 / Retainer Termination
Retainer contracts may be terminated with prior written notice as outlined in the agreement. Any remaining work will be completed for the billing cycle, and additional work outside scope will be invoiced separately.

Confidentiality
Both parties agree to protect the confidentiality of proprietary and sensitive information shared during the collaboration. Zouhall handles all client data and materials securely and will not disclose information without consent. This obligation continues after termination of the agreement. Specific NDAs can be signed if required.

Liability and Indemnification
10.1 / Limitation of Liability
Zouhall’s liability is limited to the total fees paid under the specific project or retainer. We are not liable for indirect damages, lost profits, or business outcomes. Clients agree to indemnify Zouhall against claims arising from materials or content they provide.

General Terms
11.1 / Independent Contractor
Zouhall operates as an independent contractor. Nothing in these terms establishes an employer-employee relationship. Each party is responsible for its own taxes, expenses, and compliance obligations.
11.2 / Force Majeure
Neither party will be liable for delays caused by circumstances outside of reasonable control, including natural disasters, global crises, or system outages. Timelines will be adjusted as necessary.

Dispute Resolution
In the event of a dispute, both parties agree to attempt direct negotiation in good faith. If unresolved, mediation will be pursued before arbitration or legal action. These terms are governed by the laws of [insert jurisdiction].

Modifications
We may update these terms from time to time to reflect changes in practices or requirements. Clients will receive thirty days’ notice of material changes. Continuing to work with Zouhall after updates constitutes acceptance of the revised terms.

Entire Agreement
These Terms of Service, along with any signed project or retainer agreements, represent the full understanding between Zouhall and the client and supersede all prior discussions or informal agreements.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
